Terms of Service

These Terms of Service ("Terms") govern your access to and use of ashdub. Wholesale (the "Service"), operated by ashdub. Ltd ("we", "us", "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service. These Terms supplement the ashdub. Group Terms of Service.

• "Platform" means the ashdub. Wholesale web application and any associated mobile applications, APIs, and services.
• "User" means any individual or entity that registers for or uses the Service.
• "Garage" means a motor vehicle repair, maintenance, or service business using the Platform.
• "Subscription" means a paid plan granting access to the Service for a specified period.
• "Content" means all text, images, data, files, and other materials uploaded to or generated within the Platform.

To use the Service, you must:

• Provide accurate, current, and complete registration information and keep it up to date.
• Maintain the security and confidentiality of your login credentials. You are responsible for all activity under your account.
• Register only one account per individual. Business accounts may have multiple authorised users as permitted by your subscription plan.
• Be at least 18 years of age.

We reserve the right to suspend or terminate accounts that violate these requirements.

• Plans: The Service is available on various subscription plans as described on our pricing page. Features and limits vary by plan.
• Free Trials: We may offer free trial periods. At the end of a trial, your account will convert to a paid subscription unless you cancel before the trial expires.
• Auto-Renewal: Subscriptions automatically renew at the end of each billing period (monthly or annually) unless cancelled before the renewal date.
• Payment: All payments are processed securely through Stripe. You authorise us to charge your payment method on file for all applicable fees.
• Price Changes: We may change subscription prices with at least 30 days' notice. Continued use after a price change constitutes acceptance.
• Refunds: Subscription fees are non-refundable except where required by law or at our sole discretion.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Upload or transmit viruses, malware, or any harmful code.
• Attempt to gain unauthorised access to the Service, other users' accounts, or our systems.
• Scrape, crawl, or use automated means to extract data from the Service without prior written consent.
• Interfere with or disrupt the integrity or performance of the Service.
• Use the Service to send unsolicited commercial communications (spam).
• Sublicense, resell, or redistribute access to the Service without authorisation.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

6.1 Our Content

The Service, including its design, code, graphics, logos, and documentation, is the intellectual property of ashdub. Ltd and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

6.2 Your Content

You retain ownership of all Content you upload to the Service. By uploading Content, you grant us a non-exclusive, worldwide, royalty-free licence to store, process, and display that Content solely for the purpose of providing the Service to you.

6.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without restriction or obligation to you.

We process personal data in accordance with the UK GDPR and the Data Protection Act 2018. Full details are set out in our Privacy Policy.

If you are a business customer that processes personal data of your own customers through the Service, our Data Processing Agreement applies and forms part of these Terms.

To the fullest extent permitted by the laws of England and Wales:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunity.
• Our total aggregate liability for any claims arising from or related to the Service shall not exceed the total fees paid by you in the 12 months preceding the claim.
• Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

9.1 By You

You may cancel your subscription and close your account at any time through your account settings. Cancellation takes effect at the end of the current billing period.

9.2 By Us

We may suspend or terminate your account immediately if you breach these Terms, fail to pay applicable fees, or if we are required to do so by law. We may also discontinue the Service with at least 90 days' notice.

9.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days to allow you to export it, after which it will be permanently deleted. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) shall continue in full force.

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

We may modify these Terms from time to time. We will provide at least 30 days' notice of material changes by email or by posting a prominent notice within the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
